These Terms of Use (“Terms”) govern access to and use of the private internal application IHB Accounting API (the “App”) operated by IHB SYSTEMS INC. (“IHB,” “we,” “us,” or “our”). The App connects to IHB’s own QuickBooks Online (Canada) company via Intuit’s API for internal bookkeeping assistance. The App is not a public marketplace product and is not sold, licensed, or offered to third parties as a commercial service. By accessing or using the App (including authorizing the App through Intuit’s developer platform), you agree to these Terms. If you do not agree, do not use the App.

The App is provided solely for IHB’s internal business use in connection with IHB’s own QuickBooks Online company file.

You may not:

• Use the App for any third party’s QuickBooks Online company or data without our prior written authorization
• Resell, sublicense, rent, or commercially redistribute the App
• Represent the App as a public or marketplace offering of IHB or Intuit
• Circumvent security, access controls, or Intuit platform requirements

Authorized users are limited to IHB personnel and contractors we expressly permit, subject to these Terms and our internal policies.

The App depends on Intuit’s APIs and QuickBooks Online. Intuit is not a party to these Terms. Your use of QuickBooks Online and Intuit’s developer platform remains subject to Intuit’s applicable terms, policies, and developer requirements.

We do not control Intuit’s services. Availability, features, and data handling on Intuit’s platform are governed by Intuit. We are not responsible for outages, changes, or decisions made by Intuit that affect the App.

You must keep Intuit OAuth tokens, API credentials, and related secrets confidential and use them only as authorized. You must promptly notify us at accounting@ihbsystems.com if you suspect unauthorized access to the App or related credentials.

We may suspend or revoke access to protect our systems, data, or compliance with Intuit’s rules or applicable law.

You agree not to use the App to:

• Violate applicable law or regulation
• Infringe intellectual property or privacy rights
• Introduce malware or attempt unauthorized access to systems or data
• Interfere with the App, Intuit’s APIs, or related infrastructure
• Misuse accounting data accessed through the App

The App, including its software, documentation, and branding (excluding Intuit/QuickBooks marks and third-party materials), is owned by IHB or its licensors. These Terms do not transfer ownership of any intellectual property.

Intuit, QuickBooks, and related marks are trademarks of Intuit Inc. or its affiliates. No license to those marks is granted except as needed to identify the integration in the ordinary course.

THE APP IS PROVIDED FOR IHB’S INTERNAL USE “AS IS” AND “AS AVAILABLE.”

To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components, or that it will meet any particular accounting, tax, or regulatory outcome.

Nothing in the App replaces professional accounting, tax, or legal advice.

To the maximum extent permitted by applicable law:

• IHB and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to the App or these Terms, whether based on contract, tort (including negligence), or any other theory, even if advised of the possibility of such damages.
• IHB’s aggregate liability arising out of or related to the App or these Terms will not exceed the greater of (a) CAD $100 or (b) the total fees (if any) paid to IHB specifically for access to the App in the twelve (12) months before the claim. Because the App is an internal tool not sold to third parties, fees attributable solely to the App may be zero.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

To the extent permitted by law, authorized users agree to indemnify and hold harmless IHB from claims arising from their misuse of the App, violation of these Terms, or unauthorized disclosure of credentials or company data, except to the extent caused by IHB’s gross negligence or willful misconduct.

We may modify these Terms by posting an updated version with a revised effective date. We may modify, suspend, or discontinue the App at any time.

We may terminate or suspend access immediately for breach of these Terms, security risk, or to comply with law or Intuit requirements. Provisions that by their nature should survive (including disclaimer, limitation of liability, governing law) will survive termination.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

The courts of British Columbia, sitting in Vancouver, have exclusive jurisdiction over disputes arising out of or relating to these Terms or the App, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or confidential information.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between you and IHB regarding the App and supersede prior understandings on that subject. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a corporate reorganization or sale of assets.
